EQT to buy software company WSO2

Private equity firm EQT AB plans to buy application software company WSO2 LLC for an undisclosed amount.

EQT’s BPEA Fund VIII, also known as EQT Private Capital Asia, agreed to acquire WS02 from existing shareholders, according to a May 3 news release from the Swedish private equity firm. EQT Private Capital Asia will support the software company’s next phase of growth. WS02 is joining EQT’s global portfolio of software companies that already includes BTRS Holdings Inc., which does business as Billtrust, and Waystar Inc.

Hari Gopalakrishnan, Partner in the EQT Private Capital Asia advisory team, said:

“Software is a key focus sector for EQT, and WSO2 is a strong company that has scaled globally with an enterprise customer base spread across the US and Europe. We are excited to partner with WSO2 and believe that the Company is well-positioned to capitalize on long-term trends such as digital transformation and rising GenAI adoption.”

EQT and WS02 expect the transaction, which still needs customary approvals, to close in the second half of this year.

Ropes & Gray and Simpson Thacher & Bartlet served as deal advisors for EQT Private Capital Asia, which is expected to be 45% to 50% invested after the deal closes. J.P. Morgan served as financial advisor to WSO2.
